Terms & Conditions

The operating terms for all Sovereign Arc Software Ltd B2B SaaS platforms, including licensing, subscription billing, acceptable use and liability.
1. Agreement and Parties
These Terms and Conditions govern access to and use of all software services provided by Sovereign Arc Software Ltd, a Private Limited Company registered in England and Wales (Company Registration No. 17401334) ("Sovereign Arc", "we", "us").
By creating an account, accepting a quotation or using any Sovereign Arc platform — including MedMonarch AI and RevMonarch™ — the subscribing business ("the Client") accepts these terms in full.
Our services are provided on a business-to-business basis and are not intended for consumers.
2. Licence Grant
Subject to payment of all applicable fees, Sovereign Arc grants the Client a non-exclusive, non-transferable, non-sublicensable licence to access and use the subscribed platform for its internal business purposes for the duration of the subscription term.
All intellectual property in the software, source code, models, interfaces and documentation remains the exclusive property of Sovereign Arc Software Ltd. The Client retains ownership of all data it uploads or generates.
The Client may not copy, reverse engineer, decompile, resell or white-label the software without prior written agreement.
3. Subscriptions and Billing
Subscriptions are sold on a monthly or annual recurring basis and are billed in advance in GBP. All recurring payments are processed securely by Stripe; Sovereign Arc does not store card details.
- Monthly plans renew automatically each month on the anniversary of the subscription start date until cancelled.
- Annual plans renew automatically each year unless cancelled at least 30 days before the renewal date.
- Prices are exclusive of VAT, which is applied where applicable at the prevailing UK rate.
- Usage-based charges (for example additional voice minutes or seats) are billed in arrears on the following invoice.
- Fee changes are notified at least 30 days in advance and apply from the next renewal date.
4. Failed Payments and Suspension
If a payment fails, Stripe will retry in line with its standard schedule. Accounts more than 14 days in arrears may be suspended, and data may be deleted 30 days after termination in accordance with our Privacy Policy.
5. Acceptable Use
The Client must not use any Sovereign Arc platform to:
- Breach any applicable law, regulation or third-party right, including UK GDPR and PECR marketing rules.
- Upload malware, attempt to gain unauthorised access, or probe, scan or load-test the infrastructure without written consent.
- Send unsolicited bulk communications, or use voice or messaging features for fraudulent, harassing or deceptive purposes.
- Process special category or clinical data outside the scope of an executed data processing agreement.
- Share account credentials with unauthorised persons or exceed licensed seat counts.
6. Service Availability and Support
We target 99.5% monthly availability excluding scheduled maintenance, which is notified in advance where practicable. Support is provided by email at support@sovereignarc.com during UK business hours, with a target first response within one business day.
7. Beta and Early Access Features
Features labelled beta, preview or early access are provided "as is", may change or be withdrawn without notice, and are excluded from any availability or support commitment.
8. Limitation of Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be limited.
Subject to the above, Sovereign Arc shall not be liable for indirect, special or consequential loss, loss of profit, loss of business, loss of goodwill or loss of anticipated savings.
Sovereign Arc's total aggregate liability arising out of or in connection with the services in any 12-month period shall not exceed the total fees paid by the Client in the 12 months immediately preceding the event giving rise to the claim.
The Client is responsible for maintaining its own records and for the accuracy of professional, clinical or mechanical decisions made using AI-assisted outputs.
9. Term and Termination
Either party may terminate a subscription in accordance with the Refund and Cancellation Policy. We may suspend or terminate immediately for material breach, non-payment or unlawful use.
On termination the licence ends immediately and the Client may request an export of its data within 30 days.
10. Governing Law and Jurisdiction
These terms and all service agreements are governed by and construed in accordance with the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
